1. Acceptance of Terms

By accessing or using www.ShortChainLabs.com (the “Site”) and any products, content, or services offered through the Site (collectively, the “Services”), you agree to be bound by these Terms and Conditions (the “Terms”). If you do not agree to these Terms, you must not access or use the Site or purchase any products from Short Chain Labs.

These Terms constitute the entire agreement between you and Short Chain Labs regarding your use of the Site and the purchase and use of any products and supersede all prior agreements, understandings, or representations relating to the same subject matter.

Short Chain Labs reserves the right to modify or update these Terms at any time in its sole discretion. Changes are effective when posted on this page with an updated “Effective Date,” and your continued use of the Site after such changes constitutes your acceptance of the revised Terms.

2. Research Use Only (RUO) – No Human or Animal Use

All products offered and sold by Short Chain Labs through the Site are intended solely for laboratory research use, in vitro experiments, and other non-clinical research applications (“Research Use Only” or “RUO”).

Products are not intended for:

  • Human consumption, administration, or application in any form.
  • Animal consumption, administration, or veterinary use.
  • Diagnostic, therapeutic, preventive, or curative purposes.
  • Any use in foods, drugs, medical devices, cosmetics, or any other product regulated by the U.S. Food and Drug Administration (FDA) or similar regulatory agencies.

By purchasing products from Short Chain Labs, you represent and warrant that:

  • You are a qualified professional, researcher, laboratory, or institutional buyer familiar with the handling, storage, and risks associated with research chemicals and peptides.
  • You will use all products strictly in accordance with applicable laws, regulations, institutional policies, and accepted laboratory practices.
  • You will not use, or permit the use of, any product for human or animal administration, or in any clinical, medical, or diagnostic application.

Short Chain Labs expressly disclaims any responsibility or liability for any use of the products that is inconsistent with the RUO designation or these Terms.

3. Eligibility and Age Restrictions

The Site and the products are intended only for individuals who:

  • Are at least 21 years of age, and
  • Have the legal capacity to enter into binding contracts in their jurisdiction.

By using the Site or placing an order, you represent and warrant that you meet these eligibility requirements. Short Chain Labs reserves the right, in its sole discretion, to refuse service, terminate accounts, cancel orders, or restrict access to the Site where it believes these requirements are not met or where it deems such action necessary or advisable.

4. Regulatory Compliance and No Medical Advice

Short Chain Labs does not market or sell any products as drugs, medical treatments, dietary supplements, or devices. No statements on the Site have been evaluated by the FDA or any other regulatory authority.

Accordingly:

  • Nothing on the Site, including product descriptions, technical data, or other content, constitutes medical, pharmaceutical, or professional advice.
  • Short Chain Labs does not make any claim that products diagnose, treat, cure, prevent, or mitigate any disease or medical condition.
  • You are solely responsible for ensuring that your use, handling, storage, and disposal of any products comply with all applicable laws, regulations, and guidelines, including but not limited to FDA, DEA, EPA, OSHA, and any state or local regulatory requirements.

You understand and agree that you will not rely on any information on the Site as a substitute for professional medical or scientific judgment.

5. Ordering, Pricing, and Availability

All orders placed through the Site are offers to purchase products subject to acceptance by Short Chain Labs. Short Chain Labs may accept, reject, or cancel any order for any reason, including but not limited to product availability, errors in pricing or product information, or suspicion of misuse or regulatory risk.

  • Pricing: All prices are listed in U.S. dollars (USD) and are subject to change without notice. Taxes, shipping, and handling fees (if applicable) will be added at checkout.
  • Availability: Product availability is not guaranteed. Short Chain Labs may discontinue or modify products at any time without liability.
  • Typographical Errors: If a product is listed at an incorrect price or with incorrect information due to a typographical or system error, Short Chain Labs reserves the right to cancel any orders placed for products listed incorrectly, whether or not the order has been confirmed or payment has been processed.

If your order is canceled after payment has been processed, Short Chain Labs will issue a refund for the amount paid for the canceled items.

6. Payment and Risk of Loss

You agree to provide current, complete, and accurate payment and billing information at the time of purchase. Short Chain Labs may use third-party payment processors to handle payments; by submitting payment information, you authorize Short Chain Labs and its payment processors to charge the specified amount to your chosen payment method.

  • Payment Authorization: You represent that you are authorized to use the payment method you provide.
  • Risk of Loss: Risk of loss and title to products pass to you upon Short Chain Labs’ transfer of the products to the carrier. Any claims for loss or damage in transit must be made directly with the carrier.

7. Shipping, Delivery, and International Orders

Short Chain Labs will use commercially reasonable efforts to ship orders within the timeframes indicated on the Site, but such timeframes are estimates only and not guarantees.

  • Short Chain Labs is not liable for delays caused by carriers, customs, or events beyond its reasonable control.
  • You are responsible for providing accurate shipping information. Short Chain Labs is not responsible for orders that are lost, delayed, or returned due to inaccurate or incomplete addresses.

If you place an order for delivery outside the United States:

  • You are solely responsible for ensuring that import, possession, and use of the products comply with the laws and regulations of the destination country.
  • You are responsible for all customs duties, taxes, and fees.
  • Short Chain Labs does not guarantee that customs will clear or permit entry of the products and is not responsible for seizures, holds, or refusals by customs or other authorities.

8. Returns, Refunds, and Cancellations

Due to the nature of research chemicals and peptides:

  • Products are generally not returnable or refundable once shipped, except where required by law or explicitly stated otherwise on the Site.
  • Short Chain Labs may, in its sole discretion, accept returns or issue partial or full refunds in limited circumstances, such as shipping errors or demonstrable product defects, subject to verification.

To request a return or refund, you must contact Short Chain Labs within the time frame stated on the Site’s returns or support page and provide sufficient documentation of your claim. Unauthorized returns may be refused or discarded without credit.

Orders may not be canceled after they have been processed for shipment.

9. User Responsibilities and Proper Use

You are solely responsible for:

  • Determining the suitability of any product for your intended research application.
  • Ensuring that persons handling the products are properly trained and equipped with appropriate safety measures (e.g., PPE, engineering controls).
  • Implementing appropriate controls for storage, labeling, inventory, and disposal of research chemicals and peptides in accordance with applicable laws and good laboratory practices.

You agree that you will not:

  • Use any product for human or animal administration or consumption.
  • Resell, redistribute, or transfer products to any third party that you know, or reasonably should know, intends to use them for any prohibited purpose.
  • Use the Site or products for any unlawful or unauthorized purpose.

10. Intellectual Property and Site Content

All content on the Site, including but not limited to text, graphics, logos, images, product information, and design, is the property of Short Chain Labs or its licensors and is protected by intellectual property laws. You are granted a limited, non‑exclusive, non‑transferable, revocable license to access and use the Site for lawful purposes and for purchasing products for RUO only.

You may not:

  • Reproduce, distribute, modify, create derivative works of, publicly display, or exploit any portion of the Site or its content without prior written consent from Short Chain Labs.
  • Use any data mining, robots, or similar data gathering tools on the Site.

11. No Warranties – “As Is” and “As Available”

All products and Services are provided on an “AS IS” and “AS AVAILABLE” basis, without any warranties of any kind, whether express, implied, statutory, or otherwise.

Short Chain Labs expressly disclaims, to the fullest extent permitted by law, all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.
  • Any warranty that products or information will meet your requirements or expectations, or that use of the products will yield any particular results.

Any technical information, recommendations, or statements provided by Short Chain Labs, whether on the Site or otherwise, are believed to be accurate but are provided for informational purposes only and do not constitute a warranty or guarantee. You are solely responsible for validating any information and for conducting your own tests or evaluations.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Short Chain Labs, its owners, members, managers, officers, employees, contractors, affiliates, or agents be liable for any:

  • Indirect, incidental, consequential, special, exemplary, or punitive damages;
  • Loss of profits, revenue, business, data, or goodwill;
  • Personal injury, bodily harm, or death arising out of or in any way related to the use or misuse of the products or the Site;

whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if Short Chain Labs has been advised of the possibility of such damages.

Without limiting the foregoing, Short Chain Labs’ total aggregate liability arising out of or relating to any claim concerning any product, the Site, or these Terms shall not exceed the amount you actually paid to Short Chain Labs for the specific product(s) giving rise to the claim.

You acknowledge that the limitations and exclusions of liability set forth in this section are a fundamental basis of the bargain between you and Short Chain Labs.

13. Indemnification

You agree to indemnify, defend, and hold harmless Short Chain Labs and its owners, members, managers, officers, employees, contractors, affiliates, successors, and assigns from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use or misuse of any product, including any use inconsistent with the RUO designation or these Terms.
  • Your violation of any applicable law, regulation, or third‑party rights.
  • Your breach of any representation, warranty, or covenant made in these Terms.
  • Any use of products by third parties to whom you sold, transferred, or made available the products.

Short Chain Labs reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with such defense.

14. Prohibited Activities and Enforcement

Short Chain Labs reserves the right to monitor use of the Site and to investigate any suspected violations of these Terms, including misuse of products.

Short Chain Labs may, in its sole discretion and without notice:

  • Refuse or cancel orders.
  • Suspend or terminate your access to the Site or your account.
  • Report suspected unlawful activity to law enforcement or regulatory authorities.
  • Take any other action it deems necessary or appropriate to protect its rights, comply with law, or mitigate risk.

15. Privacy

Your use of the Site is also governed by Short Chain Labs’ Privacy Policy, which describes how personal information is collected, used, and disclosed. By using the Site, you consent to the collection and use of your information as described in the Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference.

16. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to the Site, the products, or these Terms shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to its conflict‑of‑law principles.

You agree that:

  • Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in [Insert County and State], and

At Short Chain Labs’ option, any dispute may instead be submitted to binding arbitration under rules and procedures selected by Short Chain Labs, in which case the arbitration award shall be final and enforceable in any court of competent jurisdiction. If arbitration is required, details will be provided in a separate arbitration provision or agreement.

17. Severability and Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be deemed modified to the minimum extent necessary to make it enforceable while preserving its intent.

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term, and Short Chain Labs’ failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

18. Changes to the Site and Termination

Short Chain Labs may modify, suspend, or discontinue any part of the Site or Services at any time, with or without notice, and without liability. Short Chain Labs may also terminate or suspend your access to the Site or your account at any time, for any reason, including for violation of these Terms.

Upon termination, your right to use the Site and purchase products will cease immediately, but the provisions of these Terms that by their nature should survive termination (including but not limited to Sections 2, 4, 10–17) shall remain in full force and effect.
